Welcome to Netpop™ Research, the on-line market research services provided by Media-Screen™ LLC (“Media-Screen”). Netpop Research is the definitive source for consumer attitudes and emerging trends shaping the modern consumer market.

This website Terms of Service (“Terms of Service”) sets out the terms and conditions under which Media-Screen offers the Netpop Research services which are available at www.netpop.com and www.netpopresearch.com (the “Service”). It is important for you to understand the rights you have (and the rights we have) as you use the Service. All users should read this document carefully. A link to our current Terms of Service will always be available from our homepage at www.netpopresearch.com.

1. ACCEPTANCE OF TERMS OF SERVICE

By accessing, browsing, or otherwise using the Service you agree that you fully understand and agree to be bound by the terms and conditions stated in this Terms of Service document.

2. DESCRIPTION OF THE SERVICE

General Description. Netpop Research is a trusted source for market research. Netpop Research is a tracking study of the global broadband population. We provide a framework for understanding broadband consumers—individuals who define the modern consumer market. NetpopResearch.com features an easy to use interface that includes our "guides" for investigating the broadband consumer. The guides provide instructions primarily for non-research users to better understand how to use the graphs to build a story about some facet of broadband consumer attitudes, behaviors, trends, market comparisons. Essentially, these guides instruct the user about how best to use 5, 10, or 20 graphs to analyze a particular subject from Netpop. The subject could be media use, shopping habits, content production, communication, personal productivity, and so on. Some aspects of the Service are available for free, after registration, and other aspects require credits that are purchased in packages of 5 or more.

Adults Only. The Service is intended for adults only. You must be 18 years or older to use the Service. In accordance with Federal Children’s Online Privacy Protection Act of 1998 (COPPA), Media-Screen will never knowingly solicit nor will it accept personally identifiable information from individuals known to be under thirteen (13) years of age. Please see our Privacy Policy, available at www.netpopresearch.com, for more information including how to notify us of any concerns in this regard.

Right to Modify Service. Media-Screen reserves the right to immediately change, suspend, remove, or discontinue any part of the Service or any content (whether submitted by Media-Screen or by a member) for any reason, without prior notice or liability.

Changes to these Terms of Service. Media-Screen reserves the right to modify the Terms of Service at any time, and without prior notice, by posting amended terms at this website, www.netpopresearch.com. Non-material changes and clarifications will take effect immediately, and material changes will take effect within fourteen (14) days of their posting on www.netpopresearch.com. If we make changes, we will post them and will indicate the Terms of Service effective date. We will also email a notice of the new Terms of Service to the email address provided by registered subscribers in their member profile. Your continued use of the Service indicates your acceptance of the current Terms of Service.

3. YOUR REGISTRATION OBLIGATIONS

In consideration of your use of the Service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if Media-Screen has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Media-Screen has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

4. MEMBER CONDUCT

Conditions of Use. As a condition of use, you agree to all of the following:

  • You acknowledge that the service is offered for personal use and for the limited uses offered in the license described in Section 7 below. You agree that other than as specifically permitted by the licenses found in Section 7, you will not use the Service for any commercial purposes.
  • As a condition of registering with the Service, you are required to select a member ID or email address (“Member ID”) and password. While Media-Screen will keep your Member ID and password confidential in accordance with our Privacy Policy, you are responsible for maintaining the confidentiality of your Member ID and password.
  • You are responsible for all activity that occurs under your Member ID.
  • You are solely responsible for your conduct and any Content (defined below) that you submit, post, and display on the Service, or that you allow others to submit, post and/or display on the Service under your Member ID.
  • You must not harass, threaten, impersonate, or intimidate other members of the Service.
  • You must not upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
  • You must not upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," "affiliate links," or any other form of solicitation.
  • You must not transmit any worms or viruses or any code of a destructive nature.
  • You must not violate any local laws in your jurisdiction (including but not limited to intellectual property laws).
  • You must not use the Service for any illegal or unauthorized purpose. If you are an international member, you agree to comply with all local laws regarding online conduct and acceptable Content (defined below).
  • You must not create multiple member accounts with the intention of artificially inflating ratings or exploiting other features in the Service.


5. CREDITS PACKAGE FEES AND PAYMENTS.

A. Credit Package Purchases and One-Time Purchases.

Members who wish to access basic information from the Service, including certain graphs and focus reports made available for free by Media-Screen, need not pay any fees to do so. Registration with the Service, and agreement to this Terms of Service, is the only requirement for such access.

Members who wish to access single Netpop reports, must purchase the particular report for the purchase price identified by the Service. Reports may be priced in credits as well as United States Dollars.

Members who wish to access graphs must pay a fee based on the number of graph credits desired. Media-Screen currently offers five (5) packages of credits for purchase:

When you access the Service, whether through our free basic information services, or by purchasing reports or graphs, you will have the limited right to use the materials you receive under the specific license provided in Section 7 of these Terms of Service.

B. Agreement To Pay For Purchases.

You agree to pay for all purchases under your Member ID through the Service. You also agree that Media-Screen may charge your credit card or PayPal account for any purchase, and for any additional amounts (including any taxes and late fees, as applicable) as may be accrued by or in connection with your Member ID. YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES AND FOR PROVIDING MEDIA-SCREEN WITH A VALID CREDIT CARD OR PAYPAL ACOCUNT DETAILS FOR PAYMENTS OF ALL FEES. All fees will be billed to the credit card or the PayPal account you designate during the transaction process. You can always log into your Member Profile (“My Profile”) by providing your User Name and password at this link: www.netpopresearch.com. (There may be a temporary disruption of your access to the Service until Media-Screen can verify the validity of the new credit card or PayPal account information.)

C. Electronic Signatures and Contracts.

Your use of the Service includes the ability to enter into agreements and/or to make purchases electronically. YOU ACKNOWLEDGE THAT YOUR ELECTRONIC SUBMISSIONS CONSTITUTE YOUR AGREEMENT AND INTENT TO BE BOUND BY AND TO PAY FOR SUCH AGREEMENTS AND PURCHASES. YOUR AGREEMENT AND INTENT TO BE BOUND BY ELECTRONIC SUBMISSIONS APPLIES TO ALL RECORDS RELATING TO ALL TRANSACTIONS YOU ENTER INTO WITH THIS SERVICE, INCLUDING NOTICES OF CANCELLATION, POLICIES, CONTRACTS AND APPLICATIONS. In order to access and retain your electronic records, you may be required to have certain hardware and software, which are your sole responsibility.

D. Limitations.
Your direct interactions (if any) with other users or Members of the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and that individual. Like with any web-based interaction, we suggest that you use caution and good judgment. You further agree that Media-Screen is not responsible for any loss or damage incurred as the result of any such dealings or with respect to any other user's use or disclosure of your personally identifiable information (as explained in the Privacy Policy). If there is a dispute between you and any third party (including any user), Media-Screen is under no obligation to become involved.

6. MEDIA-SCREEN’S INTELLECTUAL PROPERTY RIGHTS

Copyright. Unless otherwise noted on this site, all original content created, authored, posted, or offered by Media-Screen on the Service is provided on an “All Rights Reserved” basis.

Trademarks. Media-Screen, Netpop, NetpopResearch, Broadbanders, Fast Trackers, Online Insiders, Social Clickers, Content Kings and Start Rate, the Netpop logo, Knowledge of the Modern Consumer Market, Market Insights for the Digital Lifestyle And the Companies that Create It, and other Media-Screen logos and names are trademarks of Media-Screen. You agree not to display or use these trademarks in any manner without Media-Screen’s prior, written consent. Please see our Trademark Guidelines for further information.

Nothing in this Terms of Service shall constitute a transfer of any title or interest in any intellectual property rights (including copyrights, trademarks, or patents) from Media-Screen to you, except as expressly stated in our limited license to subscribers in Section 7.

7. MEDIA-SCREEN’S LICENSE TO SUBSCRIBERS

All research produced by Media-Screen, including content accessed through the Service, is proprietary to Media-Screen and subject to copyright and other intellectual property protections. You agree that delivery of the research materials (e.g., graphs, slides, charts, data, reports etc.) downloaded through the Service (“Material”) does not transfer to you any commercial or promotional use rights in the Material. You further agree that your downloading of any Material or your purchase of a report or graph constitutes your acceptance of and agreement to use such Material solely in accordance with this Terms of Service, and that any other use of the Material may constitute an infringement of Media-Screen’s rights including copyrights and other intellectual property rights.

Limited License
When you download Material from the Service, whether through  free or through a one-time purchase, Media-Screen grants you the following limited license to use the Material as follows (note: if you would like to use the Material for purposes not listed here, please contact us at support@netpopresearch.com to discuss your interest further):

(1) Personal Use: You may use the Material in any manner that is for your individual, personal use (for avoidance of doubt, this means that the Material may be used under this section only by you, the individual who has established the user account and User name in the Service);

(2) For Live Presentations: You may include up to fifteen (15) different individual graphs in live presentations you personally present in any setting internal to one organization with which you are affiliated at the time that you download the Material (you may not, however, without the express written permission from Media-Screen, otherwise reproduce, display publicly, or distribute printed or electronic versions of the Material contained in such a presentation). Further, you may include up to three (3) different individual graphs in live presentations you personally present in any setting external to the one organization with which you are affiliated at the time you download the Material (you may not, however, without the express written permission from Media-Screen, otherwise reproduce, display publicly, or distribute printed or electronic versions of the Material contained in such a presentation).

(3) No Derivative Works: In no event are you permitted to translate, abridge, condense, transform, adapt, change, alter, edit, or revise the Material.

(4) Attribution Required: The permission granted in this section is conditioned on your providing proper attribution of the Materials as described below under “Attribution,” below.

(5) Not For Commercial Use: You may not exercise any of the rights granted to you in this section in any manner that is primarily intended for or directed toward commercial advantage or private monetary compensation. For example, and not by way of expansion or limitation, this means that you may not repackage the Material or sell it in any manner. Further, file sharing of the Material is not permitted without Media-Screen’s express written consent. Notwithstanding the foregoing, for Material provided for free through the Service, Media-Screen further grants you the right to republish the Material for non-commercial purposes provided that the material is properly attributed to Media-Screen as described herein. “Non-commercial” with respect to free Material means that you do not charge a fee to your audience (e.g., users, viewers, readers, listeners, web surfers etc.) to view, read, listen to, or otherwise access your republication of the Material. For clarity and illustration purposes only, and not meant to expand or limit the license granted herein, under this license, it is permissible to re-publish the Material to an on-line resource, even if you include a small percentage of advertising matched against the Material. (For example, by “small percentage” we mean a blog or other on-line resource where less than thirty percent (30%) of the page where the Material appears includes advertising links.)

Attribution
For any use of the Material in compliance with this License, you must keep intact all copyright notices for the Material and provide, reasonable to the medium or means you are utilizing, the following attribution:

You further agree that, to the extent you include the Material in a printed or projected presentation, on each page of such presentation where salient results of the Material is presented or referenced, you shall attribute Media–Screen as noted above. The font size for any such attribution shall be reasonably sized so as the text is readily readable by anyone attending the presentation, for example, if in a Powerpoint® presentation, the font size shall be no smaller than 12 point.

8. CONTENT SUBMITTED FOR INCLUSION OR MADE AVAILABLE ON THE SERVICE

The Service permits you to share your own pictures, texts, links or other content (“Content”) with Media-Screen and members of the Service by uploading your Content to the Service. Because you own that Content, we need to license certain rights from you so that we can provide the Service.

License Grants From You To Media-Screen. When you post your own copyright-protected Content on or through the Service, you retain ownership of any copyright you wish to claim to your submitted Content. However, by posting your Content through the Service you grant Media-Screen a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to (i) use, reproduce, publish, edit, translate, modify, adapt, distribute, publicly perform, and publicly display the Content alone or as part of other works in any form, media, or technology whether now known or later developed, and to (ii) freely and fully sublicense such rights through single or multiple tiers of sublicensees.

Links to Other Sites and Resources. The Service contains links to other websites or resources. Media-Screen has no control over such external sites and resources. You agree that (i) Media-Screen is not responsible for the availability or accuracy of such external sites and resources, and (ii) Media-Screen does not endorse nor is it responsible or liable for any Content, advertising, products, or materials on or available from such external sites and resources.

Inappropriate Member-Submitted Content. Media-Screen prohibits certain conduct and Content described above and, without obligation, will use reasonable efforts to eliminate such conduct and Content. Nevertheless, you acknowledge and agree that (i) Media-Screen is not and cannot be responsible for Content posted by users, visitors, or members of the Service, (ii) you may be exposed to any such materials or Content, and (iii) you must bear all risks associated with the exposure to and/or use of any Content, including without limitation any reliance on the accuracy, completeness, or usefulness of such Content.

9. COPYRIGHT POLICY

We respect the intellectual property rights of others, and we ask that our website visitors and members do the same. It is our policy to disable access to or remove material that we believe in good faith to be infringing on a copyrighted work. We also disable and/or terminate the memberships of those who we believe in good faith are repeatedly infringing copyrighted works.

Our Copyright Policy has been developed in accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws, and is available at www.netpopresearch.com. By accepting the Terms of Service, you agree to be bound by our Copyright Policy.

10. PRIVACY POLICY

Media-Screen takes the privacy of its members very seriously. Our Privacy Policy is available at www.netpopresearch.com. By accepting the Terms of Service, you agree to be bound by our Privacy Policy.

11. INDEMNITY

By accepting the Terms of Service, you agree to indemnify and hold Media-Screen and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (i) Content you submit, post, transmit or otherwise make available through the Service, (ii) your use of the Service, (iii) your connection to the Service, (iv) your violation of the Terms of Service (including our Copyright Policy and Privacy Policy), and/or (v) your violation of any rights of another.

12. WARRANTY DISCLAIMERS

MEDIA-SCREEN WARRANTS THAT THE INFORMATION CONTAINED IN THE MATERIAL (INCLUDING, WITHOUT LIMITATION, THE DATA, GRAPHS, AND/OR REPORTS) PROVIDED BY THE SERVICE IS BASED ON COMPILATION AND ANALYSIS OF THE BEST SOURCES AVAILABLE TO MEDIA-SCREEN AT ANY GIVEN TIME, AND THAT ANY OPINIONS REFLECT MEDIA-SCREEN’S JUDGMENT AT THE TIME AND ARE SUBJECT TO CHANGE. YOU AGREE THAT YOUR USE OF THE SERVICE PROVIDED BY MEDIA-SCREEN SHALL BE AT YOUR SOLE RISK. MEDIA-SCREEN IS NOT AND SHALL NOT BE LIABLE FOR ANY DAMAGES INCURRED BY OR ARISING AS A RESULT OF RELIACNE UPON MATERIAL. THE FOREGOING WARRANTY REGARDING THE INFORMATION CONTAINED IN THE MATERIAL IS IN LIEU OF ALL WARRANTIES, EXPRESS, OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES AS TO ACCURACY, COMPLETENESS, OR ADEQUACY OF INFORMATION.

FURTHERMORE, TO THE FULLEST EXTENT PERMITTED BY LAW, MEDIA-SCREEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE GENERALLY AND YOUR USE THEREOF. MEDIA-SCREEN MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT (EXCEPT AS NOTED IN THE IMMEDIATELY PRECEDING PARAGRAPH REGARDING INFORMATION CONTAINED IN THE MATERIAL) OR THE CONTENT OF ANY SITES LINKED TO THE SERVICE, AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (i) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (ii) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, (iii) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (iv) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE, (v) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY, AND/OR (vi) ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED OR OTHERWISE MADE AVAILABLE VIA THE SERVICE. MEDIA-SCREEN DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND MEDIA-SCREEN WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.

13. LIMITATION OF LIABILITY

YOU AGREE THAT MEDIA-SCREEN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

14. TERMINATION

Media-Screen reserves the right to terminate your access to the Service immediately, without prior notice or liability, for any reason. If Media-Screen terminates your membership, your right to use the Service will immediately cease.


You can terminate your membership at any time and for any reason, and we will make available through the Service reasonable means for you to do so. If you terminate your membership prior to your having exercised all of the credits available you, you will lose your access to those credits and Media-Screen will not be required to refund any unused portion of such credits. Credits are not transferable to another account.

All relevant terms of the Terms of Service will survive termination, including, without limitation, ownership provisions, licenses, warranty disclaimers, indemnity, and limitations of liability.

15. MISCELLANEOUS

Interpretation. The parties desire that the Agreement and these terms be construed fairly, according to their terms, in plain English, without constructive presumptions against the drafting party, and without reference to the section headings, which are for reference only.

Entire Agreement. The Terms of Service, including Media-Screen’s Copyright Policy, Privacy Policy, and Trademark Guidelines, which are hereby incorporated by reference, constitute the entire agreement between you and Media-Screen relating to the Service and governs your use of the Service, superseding any prior agreements between you and Media-Screen.

Waiver and Severability. The failure of Media-Screen to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of this Agreement is invalid, illegal, or unenforceable under applicable law, it shall not affect the validity or enforceability of the remainder of the terms of this Agreement, and without further action by the parties to this Agreement, such provision shall be reformed to the minimum extent necessary to make such provision valid and enforceable.

Assignment. Media-Screen may assign this Agreement to any successor or purchaser of all or substantially all of its assets. This Agreement is binding upon and shall inure to the benefit of any successors and/or assigns of Media-Screen.

Dispute Resolution. If a dispute arises between you and Media-Screen, we strongly encourage you to immediately contact us directly to seek a resolution by sending an email to dispute@netpopresearch.com. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

Governing Laws and Forum. The Terms of Service, and any disputes arising from these Terms of Service or your use of the Service, will be governed by and construed in all respects by the laws of the State of California as they apply to agreements entered into and to be performed entirely within California between California residents, without regard to conflict of law provisions. You agree that any claim or dispute you may have against Media-Screen must be resolved by a court located in San Francisco County, California, except as otherwise agreed by the parties.
